1. Introduction

AgencyOSX is operated by Aff Edtech Ltd, trading as Affluent Academy ("we", "us", "our"), a company registered in England and Wales (Company No. 11108740), with registered address at Bankside 300, Peachman Way, Broadland Business Park, Norwich, Norfolk, NR7 0LB. These terms govern your use of AgencyOSX at app.agencyosx.ai.

2. Acceptance of Terms

By creating an account or using AgencyOSX, you agree to these terms. If you do not agree, do not use the platform.

3. Description of Service

AgencyOSX is an AI-powered platform for marketing agency owners. It provides specialist AI assistants that analyse data and offer recommendations to help you build and scale your agency. AI-generated content is advisory only and does not constitute professional advice.

4. Account and Access

Access is restricted to authorised members. You must provide accurate information, maintain account security, and not share credentials. One account per person. We may suspend or terminate accounts that violate these terms.

5. Billing, Credits and Refunds

AgencyOSX is billed on usage. You buy prepaid credit ("top-ups") with a payment card, processed by Stripe; we do not store card numbers. Usage is deducted from your balance per request at the rates shown in the app, which may change with notice. Prices are in US dollars. The price shown is the price you pay: where UK VAT applies it is already included, and nothing is added on top.

If you save a card you can enable automatic top-ups and, where offered, usage billing, under which accrued usage is charged to your saved card periodically or when it reaches the limit shown in Settings. You authorise those charges when you enable the feature and can turn it off at any time in Settings; usage already accrued remains payable.

Welcome credit and any goodwill credit we add to your account is promotional, has no cash value, cannot be withdrawn or transferred, and is forfeited when the account is closed.

Credit that has been consumed by usage, and usage charges already billed, are non-refundable because the service has been delivered. Unused purchased credit is refundable on request within 30 days of the purchase, to the original payment method, less any part of it already used; contact support to request one. Domain registrations and renewals are non-refundable once the registry has processed them.

If you believe a charge is wrong, contact support first so we can put it right. Where a card dispute is raised for credit or usage the account has already consumed, we may suspend the account while the dispute is open and recover any dispute fees we are charged.

6. API Keys and Third-Party Services

You may connect third-party services by providing your own API keys (Anthropic Claude, Google Gemini) or via OAuth (Meta, Notion). Keys are encrypted (AES-256-GCM) and stored securely. You are responsible for any costs incurred through your API keys. AgencyOSX is not liable for third-party service availability or changes.

7. Meta Platform Data

When you connect your Meta account, AgencyOSX can read your advertising data, and, at your direction, create, edit, pause, and resume ad campaigns and retrieve leads submitted through your Lead Ads forms on your connected accounts. Our use of Meta Platform Data complies with the Meta Platform Terms and Meta Developer Policies. You are responsible for all actions taken through your connected Meta accounts and Pages, including those initiated by automations you configure or by teammates you have given access to your workspace, and you must not use insights derived from Meta data in ways that violate Meta's policies. You may disconnect your Meta account at any time in Settings; see our Privacy Policy for exactly what is deleted on disconnect versus account deletion.

8. Intellectual Property

AgencyOSX, including its AI agents, curriculum-derived knowledge, frameworks, interface, and branding, is the intellectual property of Aff Edtech Ltd. Your content (chat messages, uploaded files, generated outputs) remains your property. You grant us a limited licence to process your content solely to provide the service.

9. Acceptable Use

You must not:

• Attempt to access other users' data or accounts
• Reverse-engineer, decompile, or scrape the platform
• Use the platform for illegal purposes
• Share account credentials
• Abuse rate limits or the free tier
• Use the platform to generate content that is harmful, discriminatory, or violates applicable law

10. AI Disclaimer

AI assistants may produce inaccurate, incomplete, or outdated information. AgencyOSX is not a substitute for professional legal, financial, tax, or business advice. You are solely responsible for decisions made based on AI-generated content. We do not guarantee any specific business outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, Aff Edtech Ltd's total aggregate liability arising from your use of AgencyOSX shall not exceed the amount you have paid to us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Aff Edtech Ltd from any claims, damages, or expenses arising from your use of the platform, your violation of these terms, or your violation of any third party's rights.

13. Termination

Either party may terminate this agreement at any time. You may delete your account in Settings. We may suspend or terminate your access for violation of these terms, with or without notice. Upon termination, your data will be handled in accordance with our Privacy Policy.

14. Changes to Terms

We may update these terms from time to time. The "Last updated" date at the top indicates the most recent revision. Continued use of AgencyOSX after changes constitutes acceptance of the revised terms.

15. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of AgencyOSX shall be subject to the exclusive jurisdiction of the courts of England and Wales.
